These Terms of Service (“Terms”) govern access to and use of Smart Book, a business-management platform for service professionals. “Smart Book,” “we,” “us,” and “our” refer to the operator of the Smart Book service. By creating an account, accepting an invitation, or using Smart Book, you agree to these Terms and the Privacy Policy.
1. Eligibility and authority
You must be at least 18 years old and legally able to enter into a binding agreement. If you use Smart Book for a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts and access
You are responsible for accurate account information, safeguarding login credentials, and activity performed through your account. Business owners control employee invitations, roles, and permissions. Smart Book may suspend access when we reasonably believe an account is compromised, used unlawfully, or materially violates these Terms.
Smart Book currently supports one active business workspace per employee login. Business owners are responsible for assigning appropriate permissions and removing access when a worker should no longer use the workspace.
3. The Smart Book service
Smart Book provides tools for client records, scheduling, recurring work, estimates, invoices, payments, customer portals, team access, notifications, reports, imports/exports, routing, photos/files, and related business operations. Features may change as the service evolves.
Smart Book is a software platform. We are not your accountant, attorney, tax adviser, payroll provider, dispatcher, or trade professional, and Smart Book does not replace professional advice that may apply to your business.
4. Subscriptions, billing, and cancellation
Smart Book subscriptions purchased through Smart Book's web experience are processed through Stripe. Eligible first-time Smart Book subscriptions include a 7-day free trial, and no credit card or other payment method is required to start that trial. If a payment method is added before the trial ends, the selected billing interval—currently $30 per month or $300 per year—can begin after the trial. If no payment method is on file when the trial ends, the subscription pauses instead of creating a Smart Book subscription charge. Trial eligibility is generally limited to one introductory trial per Smart Book business/Stripe customer and may be denied where prior subscription history exists.
The iOS and Android mobile store apps do not offer Smart Book subscription purchases or Stripe subscription-management checkout inside the app. Unless otherwise stated, paid subscriptions renew automatically until canceled. A business owner may manage cancellation through Smart Book billing controls. Canceling a subscription does not automatically delete business data.
Except where required by law or expressly stated otherwise, fees already paid are non-refundable. If a payment fails, Smart Book may restrict paid features or access after any applicable grace period.
5. Customer payments and Stripe Connect
Smart Book may allow a service business to connect its own Stripe account to accept payments from its customers for real-world services, save customer payment methods, or use AutoPay. Those customer transactions are processed on the connected business’s Stripe account and are separate from the business’s software subscription payments to Smart Book.
The service business—not Smart Book—is responsible for its prices, taxes, refunds, disputes, chargebacks, customer authorizations, delivery of services, and compliance obligations relating to its customers. Smart Book does not take ownership of funds merely because a payment workflow is initiated through the platform.
6. Customer communications
Smart Book can support email and optional SMS communications. The business using Smart Book is responsible for ensuring that messages are lawful, accurate, and sent to recipients it is permitted to contact.
For SMS, the business is responsible for obtaining and documenting any consent required by law or carrier rules. Smart Book’s consent tools do not create permission where permission does not already exist. Businesses must honor opt-outs, including STOP requests, and must not import or fabricate consent.
7. Business data and customer data
You retain ownership of content and data you or your authorized users submit to Smart Book, including client records, job information, notes, photos, estimates, invoices, and files. You grant Smart Book a limited license to host, process, transmit, back up, and display that data only as reasonably necessary to operate, secure, support, and improve the service.
You represent that you have the rights and lawful basis needed to provide personal information and other content to Smart Book. You are responsible for responding to your own customers’ requests and obligations when you act as the business that collected their information.
8. Acceptable use
You may not use Smart Book to violate law, infringe intellectual-property or privacy rights, send unlawful or deceptive communications, distribute malware, gain unauthorized access, interfere with the service, abuse payment systems, scrape or reverse engineer protected portions of the service, or use Smart Book to facilitate fraud or other harmful activity.
9. Third-party services
Smart Book relies on third-party providers for infrastructure and certain optional features, including Base44 for application infrastructure, Stripe for payment processing, Resend for external email delivery, and Twilio for SMS when enabled. Your use of third-party services may also be subject to their terms and policies. Smart Book is not responsible for outages, account restrictions, or actions caused solely by an independent third-party provider.
10. Exports, account deletion, and retention
Business owners can export supported Smart Book data from the Data Management area. A business owner may separately request deletion of the Smart Book business workspace from Account & Data settings.
A deletion request is scheduled with a 30-day recovery period. During that period, the owner can cancel the deletion. If the request remains active when the deadline arrives, Smart Book will attempt to cancel any still-active Smart Book software subscription and permanently purge the business-scoped records from the active application database. The deletion process is separate from ordinary subscription cancellation.
Deletion may not remove information that must be retained for legal, fraud-prevention, security, dispute, tax, payment, or compliance purposes. Data may also persist for a limited time in backups, logs, caches, or systems operated by independent processors under their own retention requirements. Deleting a Smart Book workspace does not automatically close the business’s separate Stripe, Twilio, Resend, banking, or other third-party accounts.
11. Intellectual property
Smart Book, its software, interface, branding, and original platform content are owned by Smart Book or its licensors and are protected by applicable intellectual-property laws. These Terms give you a limited, revocable, non-transferable right to use the service for your internal business purposes while your account is authorized.
12. Service availability and changes
We work to keep Smart Book available and reliable, but no online service is uninterrupted or error-free. Maintenance, provider outages, security events, legal requirements, or product changes may temporarily affect availability. We may modify, add, or discontinue features, and we will use reasonable efforts to avoid materially disrupting paid users without notice when practical.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART BOOK IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR EVERY BUSINESS OR REGULATORY REQUIREMENT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART BOOK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING FROM USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMART BOOK’S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SMART BOOK FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
15. Indemnification
To the extent permitted by law, you agree to defend and indemnify Smart Book from third-party claims arising from your unlawful use of the service, your business’s services or customer relationships, your content, your violation of these Terms, or your violation of another person’s rights.
16. Termination
You may stop using Smart Book at any time and may cancel or delete the business workspace using the available account controls. We may suspend or terminate access for material violations, fraud, abuse, security threats, legal requirements, or nonpayment, subject to applicable law.
Sections that by their nature should survive termination—including payment obligations, intellectual property, disclaimers, liability limits, and dispute provisions—remain in effect after termination.
17. Governing law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law rules, except where federal law or another mandatory law applies. Any dispute not subject to another required forum will be brought in a court of competent jurisdiction in Tennessee.
18. Changes to these Terms
We may update these Terms as Smart Book changes or legal requirements evolve. The current version and effective date will be posted here. If a change is material, we may provide additional notice or require renewed acceptance where appropriate.
